Terms of Service

Last Updated: September 2, 2026

These Terms of Service govern your access to and use of the Midi Health website, online platform, applications, content, products, and services provided by Midi Health, Inc. and its affiliated entities.

By accessing or using our website or services, you acknowledge that you have read, understood, and agree to these Terms of Service. If you do not agree with these terms, please do not use our website or services.

1. About Midi Health

Midi Health provides technology and virtual healthcare services designed to help women access specialized care, including care related to perimenopause, menopause, weight management, healthy aging, and other midlife health needs.

Midi’s technology platform may connect users with independent medical groups, licensed healthcare professionals, pharmacies, laboratories, and other third-party service providers.

Midi Health itself does not practice medicine. Medical care, diagnosis, treatment recommendations, prescriptions, and other professional healthcare services are provided by appropriately licensed healthcare professionals and medical groups.

Your relationship with a healthcare professional may therefore be with the applicable medical group or provider rather than directly with Midi Health.

2. Eligibility

You may use Midi’s services only if you meet the applicable eligibility requirements.

Generally, users must:

  • Be at least 18 years old or the age of majority in their jurisdiction, whichever is higher.
  • Be located in a state or jurisdiction where the applicable service is available.
  • Provide accurate and complete information.
  • Use the services only for lawful purposes.
  • Follow all applicable laws and regulations.

Healthcare services may have additional eligibility requirements depending on the service, your location, medical needs, and applicable laws.

3. Healthcare Services and Telehealth

Midi provides access to virtual healthcare services through licensed healthcare professionals and medical groups.

Telehealth allows healthcare professionals and patients to communicate through electronic communications when they are not physically located in the same place.

Telehealth can provide convenient access to care, but it may not be appropriate for every medical condition or situation.

A healthcare professional may determine that you need an in-person examination, diagnostic service, emergency care, specialist referral, or another form of healthcare that cannot appropriately be provided through telehealth.

Midi does not guarantee that a particular treatment, prescription, diagnosis, or healthcare service will be available to you.

4. Medical Emergencies

Midi’s services are not intended for medical emergencies.

If you believe you are experiencing a medical emergency, call 911 or seek immediate in-person emergency medical care.

Do not rely on the website, messaging system, telehealth service, or other Midi communication channel for emergency medical assistance.

5. Medical Decisions

Healthcare professionals are responsible for making clinical decisions regarding your care.

Your provider may determine whether a particular treatment, prescription, laboratory test, medication, or other service is medically appropriate.

A prescription medication will only be provided when a licensed healthcare professional determines that it is appropriate and legally permitted.

The availability of a medication or treatment on the Midi platform does not mean that it is appropriate for every patient.

6. Your Health Information

When you use Midi’s healthcare services, you may provide personal, medical, and health information.

Our collection, use, disclosure, and protection of information are governed by our applicable privacy policies and notices.

You are responsible for providing information that is accurate, complete, and current, including information about your medical history, medications, allergies, symptoms, and other information requested as part of your care.

Providing incomplete or inaccurate information may affect your care.

7. User Accounts

Certain Midi services may require you to create an account.

You agree to:

  • Provide accurate registration information.
  • Keep your account information current.
  • Protect your login credentials.
  • Keep your password or authentication information confidential.
  • Notify Midi if you believe your account has been accessed without authorization.
  • Use only your own account.
  • Not permit another person to use your account.

You are responsible for activity occurring through your account to the extent permitted by applicable law.

Midi may suspend or terminate accounts where necessary to protect the platform, users, healthcare professionals, or the integrity of its services.

8. Electronic Communications

When you use Midi’s services, you may communicate with Midi, medical groups, healthcare professionals, pharmacies, or other service providers electronically.

You consent to receive applicable communications electronically, including appointment information, service updates, account communications, and other messages relating to your use of the services.

Depending on your selections and applicable consent requirements, communications may be sent by email, text message, telephone, or through the Midi platform.

Message and data rates may apply to text messages according to your mobile carrier’s terms.

Marketing communications may be subject to separate consent and opt-out procedures.

9. Website Content

The information available on the Midi website may include articles, educational materials, health information, product information, graphics, videos, images, and other content.

This information is provided for general informational and educational purposes.

Website content is not a substitute for personalized medical advice, diagnosis, or treatment from a qualified healthcare professional.

You should not delay seeking medical care because of information you read on the Midi website.

10. No Guarantee of Medical Results

Healthcare outcomes vary from person to person.

Midi does not guarantee that you will experience a particular medical outcome, symptom improvement, weight change, treatment response, or other result.

Treatment decisions and outcomes depend on individual circumstances, including medical history, health conditions, medications, lifestyle factors, treatment adherence, and other factors.

11. Prescription Products

Certain products available through Midi may require a prescription.

A prescription product will only be provided when a licensed healthcare professional determines that the product is appropriate for you and issues a valid prescription.

Prescription products may be provided through third-party pharmacies or other authorized providers.

You agree to use prescription products only as directed by your healthcare professional and to follow all applicable instructions.

12. Payments and Fees

Certain Midi services may be covered by insurance, while others may require self-payment.

Your financial responsibility depends on the service you receive, your insurance plan, eligibility, deductibles, copayments, coinsurance, and other applicable plan requirements.

Medication, laboratory, pharmacy, and other third-party costs may be separate from the cost of a Midi visit.

Prices and services may change from time to time.

You are responsible for reviewing applicable pricing, insurance information, and payment terms before purchasing services or products.

13. Third-Party Services

Midi may provide access to services provided by third parties, including medical groups, healthcare professionals, pharmacies, laboratories, payment processors, technology providers, and other vendors.

Those third parties may have their own terms, policies, and requirements.

Midi does not control the independent professional judgment or services of third-party healthcare providers, pharmacies, laboratories, or other independent service providers.

14. Insurance

Insurance coverage varies by plan, state, service, and individual eligibility.

Being able to access Midi’s website or schedule an appointment does not guarantee that your insurance will cover the services you receive.

You are responsible for understanding your insurance benefits and any applicable deductibles, copayments, coinsurance, exclusions, or other costs.

15. Acceptable Use

You agree not to misuse the Midi website, platform, or services.

You may not:

  • Use the services for unlawful purposes.
  • Provide false or misleading information.
  • Access another person’s account without permission.
  • Attempt to gain unauthorized access to the platform or its systems.
  • Interfere with the operation or security of the website.
  • Introduce malicious software, code, or harmful technology.
  • Copy, reproduce, modify, or distribute protected website content without authorization.
  • Use automated systems to access the website in a manner that could interfere with its operation.
  • Attempt to reverse engineer or improperly access the platform’s technology.
  • Use the service to harass, threaten, or harm another person.

Midi may take appropriate action when users violate these requirements.

16. Intellectual Property

The Midi website, platform, software, content, graphics, logos, trademarks, designs, text, photographs, videos, and other materials are owned by or licensed to Midi Health or its applicable partners.

You may access and use the website for your personal, non-commercial purposes, subject to these Terms of Service.

You may not reproduce, modify, distribute, sell, publicly display, or create derivative works from Midi’s proprietary materials without prior authorization, except where permitted by law.

The Midi name, logos, trademarks, and related branding may not be used without appropriate permission.

17. Information You Submit

You may have opportunities to submit information, comments, questions, feedback, or other materials through the website or services.

You are responsible for information you submit and must have the necessary rights to provide it.

Any use of personal or health information is subject to applicable privacy requirements and Midi’s privacy policies.

Feedback about our services may be used by Midi to improve its products, services, technology, and patient experience, subject to applicable law.

18. Website Availability

We work to keep the website and services available and functioning properly, but we do not guarantee uninterrupted access.

The website or services may occasionally be unavailable because of maintenance, updates, technical problems, network issues, security incidents, or circumstances beyond our control.

Midi may modify, suspend, restrict, or discontinue portions of the website or services when necessary.

19. Third-Party Websites and Links

The Midi website may contain links or references to third-party websites, products, or services.

These third-party resources are not controlled by Midi.

Your use of a third-party website or service may be governed by that third party’s own terms and privacy policies.

Midi is not responsible for the content, availability, security, or practices of third-party websites or services.

20. Accessibility

Midi Health is committed to providing accessible digital experiences and working to make its website and services usable by people with disabilities.

If you have difficulty accessing any portion of our website or need assistance using our services, please contact our support team.

We welcome accessibility feedback and will work to provide reasonable assistance where appropriate.

21. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the website and services are provided on an “as is” and “as available” basis.

Midi does not guarantee that the website or services will always be accurate, complete, uninterrupted, secure, or error-free.

We do not guarantee that website content will always be current or that a particular service, product, treatment, medication, or healthcare professional will be available.

Nothing in these Terms limits rights or protections that cannot legally be limited under applicable law.

22. Limitation of Liability

To the fullest extent permitted by applicable law, Midi and its applicable affiliates, officers, employees, agents, contractors, and service providers will not be responsible for indirect, incidental, consequential, special, or punitive damages arising from or related to your use of the website or services.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

23. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Midi and its applicable affiliates, officers, employees, agents, contractors, and service providers from claims, liabilities, damages, losses, and expenses arising from your unlawful use of the services, violation of these Terms, or infringement of another person’s rights.

24. Suspension or Termination

Midi may suspend or terminate your access to the website or services when reasonably necessary, including where you violate these Terms, misuse the platform, create a security risk, or where the applicable service is discontinued.

You may stop using the website and services at any time.

Certain provisions of these Terms may continue to apply after termination, including provisions concerning intellectual property, disclaimers, limitations of liability, dispute resolution, and other provisions that by their nature should survive termination.

25. Changes to These Terms

Midi may update these Terms of Service from time to time.

When changes are made, we may update the “Last Updated” date and post the revised terms on the website.

Your continued use of the website or services after updated Terms become effective may constitute acceptance of the revised Terms, to the extent permitted by law.

We encourage you to review these Terms periodically.

26. Dispute Resolution and Arbitration

Certain disputes relating to Midi’s services may be subject to binding individual arbitration rather than litigation in court, and applicable terms may include a waiver of jury trial and class-action participation.

The current Midi legal terms contain specific provisions regarding informal dispute resolution, arbitration, exceptions, and the procedure for opting out where applicable.

Because these provisions can affect your legal rights, please review the applicable arbitration terms carefully before using the services.

27. Governing Law

The applicable governing law and dispute-resolution procedures are set out in Midi’s current legal terms and may depend on the circumstances and applicable law.

Nothing in these Terms is intended to remove rights that cannot legally be waived.

28. No Agency Relationship

These Terms do not create a partnership, joint venture, employment relationship, or agency relationship between you and Midi.

Nothing in these Terms gives you authority to act on behalf of Midi or to enter into agreements on Midi’s behalf.

29. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.

30. Entire Agreement

These Terms, together with applicable policies, consents, and other agreements referenced by or incorporated into them, constitute the agreement governing your use of the applicable Midi services.

Where a separate agreement applies to a particular service, that agreement may contain additional requirements.
